1. About these Terms
1.1 These Terms and Conditions (the “Terms”) are a binding agreement between Sellmetric Pte Ltd (“SellerApp,” “we,” “us,” or “our”) and the person or business that uses our Services (“you”). If you use the Services for a company or other organization, you confirm that you have authority to accept these Terms for it, and “you” means that organization.
1.2 The “Services” are the SellerApp websites, software platform and dashboards, self-serve tools, the SellerApp Chrome extension, our APIs and developer tools, and our managed advertising, agency, and consulting services.
1.3 You accept these Terms when you create an account, install the extension, or otherwise use the Services. If you do not agree, please do not use the Services.
1.4 If you have a signed agreement or order form with us, that document prevails over these Terms where the two conflict.
1.5 Our Privacy Policy explains how we handle personal data. It is a notice and does not form part of this contract. Where we process personal data on your behalf, our Data Processing Agreement applies and is available from legal@sellerapp.com.
2. Eligibility and accounts
2.1 The Services are built for business use. You must be at least 18 years old and able to enter into a binding contract.
2.2 You agree to give us accurate account information and keep it up to date. You are responsible for keeping your login details confidential and for all activity under your account. Tell us at support@sellerapp.com as soon as you suspect unauthorized use.
2.3 If you invite team members, clients, or other users into your account, you are responsible for their use of the Services and for making sure they follow these Terms.
3. License to use the Services
3.1 While you comply with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
3.2 Features differ by plan. Some features are available only on paid plans, and we may add, change, or retire features over time.
3.3 You may install the Chrome extension only on devices you own or are authorized to manage.
3.4 We reserve all rights that these Terms do not expressly grant.
4. Connected marketplace and advertising accounts
4.1 Many features work only when you connect a third-party account, such as Amazon Seller Central, Amazon Ads, Walmart, or Google Ads. When you connect one, you authorize us to access it through the platform’s official APIs, within the permissions you grant, in order to provide the Services. For managed services, that includes making changes to campaigns as agreed with you.
4.2 You confirm that you have the right to connect each account, and you remain responsible for complying with that platform’s own terms and policies.
4.3 You can revoke our access at any time from the platform’s settings. Features that depend on the connection will stop working once you do.
4.4 Associated third-party platforms control their own APIs, data, and policies. We are not responsible for their outages, changes, or decisions, including any action a platform takes on your account.
4.5 SellerApp is an independent company. We are not owned or endorsed by Amazon, Walmart, or any other marketplace, and their names and marks belong to their owners.
5. Your data
5.1 You keep all rights in the data you submit to the Services or make available through a connected account (“Customer Data”).
5.2 You grant us a license to host, process, and display Customer Data only as needed to provide, secure, support, and improve the Services.
5.3 We may create anonymized and aggregated data, such as marketplace and category trends, that does not identify you or your business, and use it for any lawful purpose.
5.4 We treat Customer Data as confidential. We do not sell it, and we share it only as described in our Privacy Policy, as you direct, or as the law requires.
5.5 The Services run on seller account data. Please do not submit the personal information of your buyers, or special categories of personal data such as health information.
5.6 We maintain administrative, technical, and physical safeguards designed to protect Customer Data against loss, misuse, and unauthorized access. These include encryption in transit, access controls, and role-based permissions. If we become aware of a security breach that affects your Customer Data, we will notify you without undue delay and share the information we reasonably can to help you respond.
You are responsible for securing your own systems, devices, and login details, and for the access you grant to users and connected accounts. No system is completely secure, so we cannot guarantee that unauthorized access will never occur.
6. Fees and payment
6.1 We offer a free plan and paid plans. Paid fees are those shown on our pricing page or at checkout when you buy, or in your order form.
6.2 Subscription fees are billed in advance, monthly or annually, depending on the term you choose. Usage-based fees, such as API usage or fees linked to advertising spend, are billed as described when you sign up for them.
6.3 You can pay using the methods we offer at checkout. Payments are handled by third-party payment processors, and we do not store full card details.
6.4 Where auto-renewal is switched on, your subscription renews for the same term at the then-current price until you cancel. You can manage renewal in the Billing section of your account.
6.5 You can cancel at any time in the Billing section or by contacting support@sellerapp.com. Unless we agree otherwise, cancellation takes effect at the end of the billing period you have paid for.
6.6 If you are not satisfied with a paid plan, contact support@sellerapp.com and we will review your refund request. Approved refunds are returned to the original payment method.
6.7 We may change our prices. A change applies to you from your next renewal, and we will tell you before it does.
6.8 Fees do not include taxes. You are responsible for any sales, use, GST, VAT, or similar taxes that apply, other than taxes on our income.
6.9 If a payment fails or is overdue, we may suspend paid features after giving you notice and a reasonable chance to pay.
7. Acceptable use
7.1 You agree not to do any of the following, or to help anyone else do them.
- Use the Services for anything unlawful, or to infringe or violate the rights of others
- Upload or send content that is unlawful, defamatory, harassing, hateful, obscene, or invasive of another person’s privacy
- Copy, modify, reverse engineer, or decompile the Services, except where the law allows it despite this restriction
- Resell, sublicense, or share access to the Services outside your organization, unless your plan or a written agreement with us permits it
- Scrape or harvest data from the Services, or use robots, spiders, or similar tools on them, other than through our published APIs
- Go around usage limits, security controls, or access restrictions
- Introduce viruses or other harmful code, or interfere with the operation of the Services
- Impersonate another person or entity, or misstate your connection with one
- Use the Services to build a competing product
7.2 We may investigate suspected breaches of this section and suspend access while we do.
8. Intellectual property and feedback
8.1 The Services, including their software, design, content, and trademarks, belong to Sellmetric Pte Ltd and its licensors and are protected by intellectual property laws. Nothing in these Terms transfers ownership to you.
8.2 If you send us ideas or suggestions about the Services, we may use them without restriction or payment. This does not apply to Customer Data, which Section 5 covers.
9. Testimonials and public posts
9.1 If you give us a testimonial, you allow us to publish it with your name and company on our websites and in our marketing. We may edit it for length and clarity without changing its meaning. You confirm that you have the right to give it, and you can ask us to take it down at any time by emailing legal@sellerapp.com.
9.2 Where the Services let you post content that others can see, you are responsible for what you post. We may remove any post that breaks these Terms or that we reasonably consider harmful.
10. Third-party sites
The Services may link to websites and services we do not control. We are not responsible for their content or practices, and we encourage you to read their terms and privacy policies.
11. Changes to the Services
We improve the Services continually, so features may change. If we plan a change that materially reduces a paid feature you are using, we will give you reasonable notice.
12. Suspension and termination
12.1 You may stop using the Services and close your account at any time.
12.2 We may suspend or end your access if you materially breach these Terms, if fees remain unpaid after notice, if the law requires it, or if your use puts the security of the Services or other customers at risk. Where practical, we will give you notice and a chance to fix the problem first.
12.3 We may also discontinue the Services, or a free plan, on reasonable notice.
12.4 When your access ends, your license to use the Services ends too. You may ask for a copy of your Customer Data before your account closes. After that, we delete or anonymize it as described in our Privacy Policy and, where it applies, the Data Processing Agreement.
12.5 Sections that by their nature should continue after termination will do so, including Sections 5.3, 8, 13, 14, 15, and 18.
13. Disclaimers
13.1 We work hard to keep the Services accurate and available. However, to the extent the law allows, the Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13.2 Sales estimates, keyword volumes, forecasts, scores, and recommendations in the Services are estimates based on available data. They are not guarantees of sales, rankings, advertising performance, or any other result.
13.3 Automation features act on the rules and settings you choose. You are responsible for reviewing them and for the business decisions you make using the Services.
13.4 We do not promise that the Services will be uninterrupted, error-free, or free of harmful components, and you are responsible for protecting your own systems and devices.
14. Limitation of liability
14.1 Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, or for fraud.
14.2 Subject to Section 14.1, neither we nor our directors, employees, affiliates, or suppliers will be liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, sales, data, or goodwill, however it arises.
14.3 Subject to Section 14.1, our total liability for all claims connected with the Services or these Terms is limited to the greater of the fees you paid us in the 12 months before the event giving rise to the claim and USD 100.
15. Indemnity
15.1 You agree to indemnify us against losses, costs, and reasonable legal fees arising from a third-party claim that results from your Customer Data, your breach of these Terms, or your violation of the law or of someone else’s rights.
15.2 We will tell you promptly about any such claim, using the most recent email address on your account. You may take over the defense with counsel reasonably acceptable to us, and we will cooperate at your expense. You may not settle a claim in a way that admits fault on our behalf or imposes obligations on us without our written consent.
16. Export controls and sanctions
You agree to comply with the export control and sanctions laws that apply to you and to us, including those of the United States and Singapore. You may not use or export the Services in breach of those laws.
17. Changes to these Terms
We may update these Terms from time to time and will revise the date at the top when we do. If a change is material, we will give you reasonable advance notice by email or in the product. Your continued use of the Services after a change takes effect means you accept the updated Terms. If you do not agree, you may stop using the Services and cancel your subscription.
18. Governing law and disputes
18.1 These Terms are governed by the laws of Singapore, without regard to its conflict of law rules.
18.2 We would like to resolve any concern informally first, so please contact us at legal@sellerapp.com. If we cannot, the courts of Singapore have exclusive jurisdiction over any dispute connected with these Terms or the Services.
18.3 Nothing in this section removes rights you have under mandatory laws of the country where you live.
19. General
19.1 These Terms, together with any order form and the Data Processing Agreement where it applies, are the entire agreement between you and us about the Services.
19.2 If any part of these Terms is found unenforceable, the rest stays in effect.
19.3 If we do not enforce a right, that is not a waiver of it.
19.4 You may not transfer your rights under these Terms without our written consent. We may transfer ours to an affiliate or to a successor in a merger, acquisition, or sale of assets.
19.5 Neither party is liable for a failure or delay caused by events beyond its reasonable control.
19.6 We send notices to the email address on your account. Legal notices to us go to legal@sellerapp.com.
19.7 A person who is not a party to these Terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 2001 of Singapore.
